Welcome to Simplty Inc. ("we," "our," "us"). These Terms and Conditions ("Terms") govern your access to and use of our real estate software for agents ("Service"). By using our Service, you agree to these Terms. If you do not agree, please do not use our Service.

General. By using our Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our Service on behalf of an organization, you represent that you have the authority to bind the organization to these Terms.

To use our Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree not to use our Service:

• In any way that violates any applicable federal, provincial, local, or international law or regulation.
• To impersonate or attempt to impersonate Simplty Inc., a Simplty Inc. employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm Simplty Inc. or users of the Service, or expose them to liability.

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Simplty Inc., its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Our Service may allow users to post, submit, publish, display, or transmit content or materials (collectively, "User Contributions"). Any User Contribution you post to the Service will be considered non-confidential and non-proprietary. By providing any User Contribution on the Service, you grant us and our affiliates the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You agree not to:

• Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Service.
• Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service.

To the fullest extent permitted by applicable law, in no event shall Simplty Inc., its affiliates, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through the Service by any third party; and/or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service.

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Consent to Use Information. You hereby authorize and consent to the collection, storage and use, by Simplty Inc. and its affiliates, partners and agents, of any information and data related to or derived from Your use of the Application, and any information or data that You provide to Simplty Inc. and its affiliates, partners and licensors (the “Information”). Without limiting the generality of the foregoing, the Information shall include, without limitation, the following types of information and data, in an aggregate (not user level) form: search requests, search results, patterns, data and suggestions based on user actions. Notwithstanding the foregoing, You shall not provide or disclose and the Information shall not include any information or data that is personally identifiably to You. The Information will be treated as being non-confidential and nonproprietary, and Simplty Inc. assumes no obligation to protect confidential or proprietary information (other than personally identifiable information) from disclosure and will be free to reproduce, use, and distribute the Information to others without restriction. We will also be free to use any ideas, concepts, know-how or techniques contained in the Information for any purpose whatsoever including, without limitation, developing, manufacturing and marketing products and services incorporating such Information.

Privacy Policy. You represent that You shall comply with the terms and conditions of the Simplty Inc. Privacy Policy, which sets forth and describes the practices of Simplty Inc. with respect to the collection, use and disclosure of Information in connection with Your use of the Application. Simplty Inc. reserves the right to change the provisions of its Privacy Policy at any time and from time to time at its sole discretion. Simplty Inc. will post any changes to its Privacy Policy at the web address set forth in the preamble to this License. Your use of the Application following the posting of such changes to the Privacy Policy will constitute Your acceptance of any such changes.
